I. About PassPro

PassPro is a Government Authorised Citizenship by Investment ("CBI") advisor operating since 2016, founded by Giselle Bru, who has been advising in this sector since 2008. PassPro currently holds authorisations as an agent in the active Caribbean donation-route CBI programmes, including those of Antigua and Barbuda, the Commonwealth of Dominica, Grenada, Saint Kitts and Nevis, and Saint Lucia. PassPro is a wholly owned subsidiary of InvestPro Holding.

II. Use of the Sites

The Sites and all content displayed on them are provided to you for informational and advisory purposes only. You may access the Sites for your personal, non-commercial use, provided that you comply with these Terms and with all applicable laws.

You agree not to, directly or indirectly:

• copy, reproduce, modify, distribute, or publicly display any part of the Sites without our prior written consent;
• use any automated means (including bots, scrapers, or crawlers) to access or extract content from the Sites in a manner inconsistent with our published robots.txt;
• reverse engineer, decompile, or attempt to derive the source code of any software underlying the Sites;
• introduce any virus, malware, or other harmful code to the Sites;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• use the Sites in any manner that could disable, overburden, damage, or impair them.

III. Advisory Services

The Sites describe PassPro's advisory services in connection with second Citizenship by Investment programmes. Use of the Sites alone does not create an advisory relationship between you and PassPro. An advisory relationship is established only when (a) you and PassPro execute a written Services Agreement; and (b) the agreed initial advisory fee is received in cleared funds.

All applicable fees, scope of services, deliverables, timelines, refund conditions, and termination rights are set out in the executed Services Agreement. Where there is any inconsistency between these Terms and the executed Services Agreement, the Services Agreement governs.

IV. Pre-Approval and Refund Guarantee

PassPro pre-approves every applicant against the relevant CBI unit's published standards before any financial commitment is made. If, after pre-approval and submission, an application is denied by the issuing CBI unit, PassPro will refund advisory fees and government processing fees collected, in accordance with the specific terms set out in the executed Services Agreement.

The refund guarantee does not apply where the denial results from (a) material misrepresentation or omission by the applicant in the application process; (b) failure by the applicant to provide requested documentation or to respond to due-diligence enquiries within reasonable timelines; (c) sanctions, criminal findings, or other matters which were not disclosed at the time of pre-approval; or (d) changes in programme rules after submission that materially alter the applicant's eligibility through no fault of PassPro.

V. No Legal, Tax, or Immigration Advice

The information made available on the Sites and through PassPro's advisory services is not, and is not intended to be, legal advice, tax advice, immigration advice, or financial advice. PassPro is an authorised CBI agent, not a law firm, tax advisory practice, immigration consultancy, or financial-services firm.

You should obtain independent legal, tax, immigration, and financial advice from qualified professionals in the relevant jurisdictions before making any decision affecting your citizenship, nationality, residency, tax position, or financial affairs. PassPro is happy to make introductions to appropriate independent counsel where useful.

VI. Confidentiality

PassPro treats every Visitor and client interaction as confidential by default. Information you share with PassPro through the Sites, by email, by telephone or messaging, or in person is handled in accordance with our Privacy Policy.

Information you submit through the Sites' enquiry channels is used solely for the purposes of responding to your enquiry, assessing fit with PassPro's services, and (where applicable) supporting your CBI application. PassPro does not share applicant information with marketing entities, advertisers, or other third parties outside the scope expressly described in our Privacy Policy.

VII. Intellectual Property

All content displayed on the Sites — including text, photographs, illustrations, graphics, logos, the "PassPro" wordmark and passport-icon mark, brand typography, page layouts, code, and the curation thereof — is owned by PassPro or licensed to PassPro and is protected by intellectual-property laws of the United Arab Emirates and other jurisdictions.

Excluding any rights expressly granted in these Terms, no licence, by implication, estoppel, or otherwise, is granted to you in respect of any of PassPro's intellectual property. You may not use the PassPro name, brand marks, or other identifiers without our prior written consent.

VIII. Third-Party Sites and Resources

The Sites may link to third-party websites, services, and resources, including government CBI unit websites, real-estate developer listings, news media, and other reference material. PassPro provides these links for your convenience only. We do not endorse, are not responsible for, and exercise no editorial control over the content, accuracy, or practices of third-party sites or services. Your use of any third-party site is subject to that site's own terms and policies.

IX. Disclaimers

The Sites and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. PassPro does not warrant that the Sites will be uninterrupted, error-free, secure, or free of harmful components.

CBI programme rules, government fees, due-diligence requirements, and processing timelines are determined by the relevant sovereign governments and may change without notice. While PassPro takes reasonable steps to keep information on the Sites current, you should not rely on Site content alone for any application decision. The figures and details in your specific case will be confirmed in writing during the advisory process.

X. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will PassPro, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of the Sites, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not PassPro has been informed of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of PassPro arising out of or relating to these Terms or your use of the Sites shall not exceed the greater of (a) the advisory fees actually paid by you to PassPro under your Services Agreement in the twelve months preceding the claim; or (b) USD 100. Liability for fraud, wilful misconduct, or any other liability that cannot lawfully be limited is unaffected.

XI. Indemnification

You agree to indemnify, defend, and hold harmless PassPro and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms; (b) your misuse of the Sites; or (c) your violation of any law or the rights of any third party.

XII. Termination

PassPro reserves the right to suspend or terminate your access to the Sites, in whole or in part, at any time and without notice, for any reason or no reason, including without limitation if PassPro believes you have breached these Terms or acted in a manner inconsistent with the letter or spirit of them. Termination of access to the Sites does not affect any rights or obligations under an executed Services Agreement, which is governed by its own termination terms.

XIII. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, applicable in the Emirate of Dubai, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or in connection with these Terms or your use of the Sites shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

Counsel note: the governing-law and jurisdiction provisions are a placeholder. PassPro's operations span multiple jurisdictions and several alternatives (DIFC, Saint Kitts and Nevis, or a neutral common-law jurisdiction such as Singapore) should be evaluated by counsel before publication.

XIV. Changes to These Terms

PassPro may update these Terms from time to time. We will indicate the date of the most recent revision at the top of this page. Material changes will be highlighted, and continued use of the Sites following the posting of revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Sites.

XV. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy, Cookie Policy, and any executed Services Agreement, constitute the entire agreement between you and PassPro relating to the Sites and supersede all prior or contemporaneous communications and proposals, whether oral or written.
